These Terms of Service (the "Terms") govern your access to and use of meniqo.com and the related Meniqo platform (the "Service") provided by Smartlio - Pametna Rješenja d.o.o., a company registered in Bosnia and Herzegovina (VAT/ID 4272473690009, Trnska Cesta 169, 88220 Široki Brijeg). We are referred to as "Meniqo", "we", or "us"; the person or business agreeing to these Terms is referred to as "you" or "Customer".
By creating an account, signing in, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Meniqo is a software-as-a-service platform that lets restaurants, cafés and similar businesses publish digital QR-code menus, manage menu content, and view scan analytics. The Service is hosted by us; no software needs to be installed locally by the Customer.
We may modify, add, or remove features at any time, with reasonable advance notice for material reductions. We do not guarantee that any specific feature will remain available indefinitely.
2. Account, eligibility, and security
- You must be at least 18 years old and legally able to enter into binding contracts.
- You must provide accurate registration information and keep it up to date.
- You are responsible for all activity under your account, including content uploaded by you or anyone you grant access to.
- You are responsible for keeping your password (or third-party login credentials, e.g. Google) confidential.
3. Subscription, free trial, and automatic renewal
The Service is offered on a paid subscription basis. Pricing and billing periods are shown on the public pricing page and selected by you at signup.
A 14-day free trial is included with each new account. A valid payment card must be provided at signup. No charges occur during the trial period.
At the end of the 14-day trial, your subscription begins automatically and your card is charged for the plan you selected (monthly or yearly), unless you have cancelled before the trial ends. The subscription renews automatically at the end of each billing period until cancelled.
Cancellations take effect at the end of the current billing period. You retain access until that date. We do not pro-rate refunds for unused time on monthly plans.
4. Payments and Merchant of Record
Card payments and tax collection are processed by Paddle.com Market Limited and its affiliates ("Paddle"), acting as our Merchant of Record. Paddle is the seller of record on your invoice and is responsible for charging applicable VAT/sales taxes.
Paddle's checkout terms apply in addition to these Terms during the payment flow. We never receive or store your card details.
5. Right of withdrawal — EU consumers
If you are a consumer resident in the European Union, you have a 14-day right to withdraw from the contract for digital services under EU Directive 2011/83/EU.
You expressly agree to begin using the Service immediately on signup and acknowledge that you lose your right of withdrawal once we have begun providing the Service. By creating an account and starting your free trial, you confirm this waiver.
This clause does not affect any statutory rights that cannot be waived under your local law. Customers who registered as a business (B2B) do not benefit from the consumer right of withdrawal.
6. Refunds
Our refund policy is published at https://app.meniqo.com/refunds and forms part of these Terms.
7. Acceptable use
You agree not to use the Service to:
- publish content that is unlawful, infringing, defamatory, or misleading;
- publish allergen, ingredient, or pricing information you know or should know to be inaccurate;
- upload images, names, or descriptions you do not own or have permission to use;
- attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service;
- use the Service to send unsolicited communications, malware, or harmful code;
- resell, sublicense, or wrap the Service into a competing product without our written permission.
8. Your content
You retain all rights in the content you upload (menu items, names, descriptions, photos, branding). You grant Meniqo a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transform (for resizing/formatting), and publicly display that content to the extent strictly necessary to provide the Service to you and your guests.
You are solely responsible for ensuring that you have all rights necessary to upload and publish your content, including images of dishes, employees, or third parties.
9. Our intellectual property
All rights to the Meniqo platform — software, design, themes, the "Meniqo" name, logo, and trade dress — remain with Meniqo. You receive only the rights expressly granted in these Terms.
10. Suspension and termination
You may terminate your subscription at any time from your billing page. Upon termination:
- access to the Service ends at the end of the current paid period;
- we retain your account data for 30 days, allowing you to reactivate;
- after 30 days, account and content data are permanently deleted, except where law requires longer retention (e.g. invoicing records).
We may suspend or terminate your account, with notice where practical, if you materially breach these Terms, fail to pay, or use the Service in a way that risks legal or operational harm to Meniqo or other users.
11. Privacy and data protection
Our handling of personal data is described in the Privacy Policy. Where Meniqo processes personal data on your behalf (e.g. data of your guests collected through your menu), we act as a data processor under Article 28 GDPR. A data processing agreement is available on request via privacy@meniqo.com.
12. Service availability
We strive to keep the Service available 24/7 but make no guarantee of uninterrupted operation. Scheduled maintenance, third-party outages, force majeure, and security incidents may cause downtime. We will use reasonable efforts to minimise impact and notify you of significant outages.
13. Disclaimers and limitation of liability
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Our aggregate liability under these Terms for any cause of action — whether contractual, tortious, or otherwise — is limited to the amount you have paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law (gross negligence, wilful misconduct, death or personal injury caused by us, statutory consumer rights).
14. Indemnity
You agree to defend and indemnify Meniqo against any third-party claim arising from your content (including intellectual property infringement) or from your use of the Service in breach of these Terms or applicable law.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email and via the dashboard at least 30 days before they take effect. Continuing to use the Service after the effective date constitutes acceptance.
16. Governing law and jurisdiction
These Terms are governed by the laws of Bosnia and Herzegovina. Disputes shall be submitted to the competent courts of Široki Brijeg, Bosnia and Herzegovina. Mandatory consumer-protection law of the consumer's country of residence is not affected.
